1. Introduction

Welcome to LusitoHub, an online platform that connects clients (“Clients”) with independent service providers (“Providers”) for transport, delivery, and related services in Eswatini (the “Platform”).

The Platform is owned and operated by SparkSync Investments Pty Ltd (“SparkSync”, “we”, “us”, or “our”), a private company duly registered with the Ministry of Commerce, Industry and Trade of the Kingdom of Eswatini.

These Terms of Service (“Terms”) govern your access to and use of the Platform, including our website (lusitohub.com), mobile applications, APIs, and any related services (collectively, the “Services”).

Important: LusitoHub is a technology platform only. We are not a party to any agreement between Clients and Providers. We do not employ, engage, or control Providers. All contracts for services are formed directly between the Client and the Provider. SparkSync and LusitoHub act solely as a neutral facilitator and are not liable for the performance, quality, safety, or legality of any service provided.

2. Acceptance of Terms

By accessing, browsing, registering an account, posting a job, submitting a bid, accepting a job, making or receiving payment, or otherwise using any part of the Services, you agree to be legally bound by these Terms, as well as our Privacy Policy, Cookie Policy, and any other policies or guidelines incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Platform or any Services.

3. Eligibility

To use the Platform, you represent and warrant that:

• You are at least 18 years old or have reached the age of majority in your jurisdiction (whichever is higher).
• You have the legal capacity to enter into binding contracts.
• You are not barred from using the Services under any applicable law.
• All information you provide is accurate, current, and complete.

SparkSync may, in its sole discretion, refuse to offer the Services to any person or entity and may change its eligibility criteria at any time.

4. Platform Role and Independence of Providers

LusitoHub provides an online venue that enables Clients to publish transport and delivery requests and Providers to submit bids or offers to perform those services.

• Performing the services in a professional, safe, and timely manner
• Complying with all applicable laws, regulations, and licensing requirements
• Maintaining adequate insurance (including motor vehicle insurance where applicable)
• Determining their own working hours, rates, and methods of performance
• Paying all taxes and social security contributions arising from their earnings

Clients are solely responsible for evaluating Providers, verifying information, and ensuring the safety and suitability of the service.

5. Accounts

To access certain features, you must create an account (“Account”). You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use or security breach
• Accept full responsibility for all activities under your Account

6. User Conduct

You agree not to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose
• Post false, misleading, or defamatory content
• Harass, threaten, discriminate against, or impersonate any person
• Infringe any intellectual property, privacy, or publicity rights
• Attempt to circumvent, disable, or interfere with security-related features
• Engage in spamming, phishing, or other unsolicited commercial communications
• Interfere with the proper functioning of the Platform

7. Payments and Escrow

LusitoHub facilitates payments through third-party processors (e.g., MTN MoMo). When a Client accepts a Provider’s bid:

• The agreed amount is held in escrow by LusitoHub
• Upon successful completion (confirmed by Client or auto-released after 24 hours), funds are disbursed as follows:
  • 90% to the Provider
  • 10% platform fee to SparkSync Investments Pty Ltd (which may include referrer commissions)
• LusitoHub does not guarantee payment if the Client raises a valid dispute or if the job is cancelled per policy

8. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, SparkSync Investments Pty Ltd, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from:

• Your use of or inability to use the Platform
• Any conduct or content of any third party
• Any content obtained through the Platform
• Unauthorized access, use, or alteration of your transmissions or content
• Any transaction or relationship between Clients and Providers

In no event shall our total aggregate liability exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless SparkSync Investments Pty Ltd, its affiliates, officers, directors, employees, agents, and licensors from any claim, demand, loss, liability, or expense (including attorneys’ fees) arising out of or relating to:

• Your breach of these Terms
• Your use of the Platform
• Your violation of any third-party right
• Any dispute between you and another User

10. Termination

We may suspend or terminate your Account or access to the Platform at any time, without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Platform ceases immediately.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Kingdom of Eswatini, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively by the courts located in Manzini, Eswatini.

12. Changes to Terms

We may revise these Terms at any time. The revised version will be posted on this page with an updated “Last updated” date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
